Scholarcy Demo Terms of Use
A. These terms and conditions (together with any documents incorporated by reference below, the “Agreement”) govern the demo application (“Scholarcy Demo”) made available by Scholarcy Limited, (as the context requires, “Scholarcy”, “we”, “us”, “our”) to you (“you”, “your”) the person accessing the Scholarcy Demo as indicated below.
B. Scholarcy is an online article summarizer tool which reads research articles, reports and book chapters in seconds and breaks them down into bite-sized sections enabling you to quickly assess how important any document is to your work. To enable you to learn how the solution can be used on a limited basis, we have created a sample application referred to herein as the Scholarcy Demo.
C. The Scholarcy Demo is intended to provide a free to use example of the Scholarcy Library and Scholarcy API which are accessible from our website. The Scholarcy Demo provides access to the Chrome Extension and API enabling you to create summary Structured Content from your Processed Documents. With the Scholarcy Demo you are not able to save your Structured Content.
D. The Scholarcy Demo is intended for your use to observe and analyse the functionality and user experience of the Scholarcy Service. You can trial the Service (subject to certain limitations) and consult the Scholarcy documentation to see how the Scholarcy Demo may be of use to you.
Scholarcy Demo Access
Access to the Scholarcy Demo is provided “as is” and we give no warranty that the access will be continuous and uninterrupted. We use our reasonable commercial endeavours to provide the Scholarcy Demo 24/7 but shall not be liable to you or any third party if we are unable to achieve this.
We may in our absolute discretion and without liability vary the functionality of the Scholarcy Demo, terminate access to it or cease the service at any time and without notice. Such variations may include (but are not limited to) varying the number of documents that may be processed in a given period, the size of Processed Documents or the availability of features for Structured Content.
In your use of the Scholarcy Demo you shall not:
(a) access, store, distribute or transmit any viruses, or any material that:
(i) is unlawful, harmful, threatening, defamatory, obscene, infringing, harassing or racially or ethnically offensive;
(ii) facilitates illegal activity;
(iii) depicts sexually explicit images;
(iv) promotes unlawful violence;
(v) is discriminatory based on race, gender, colour, religious belief, sexual orientation, disability; or
(vi) is in any manner otherwise illegal or causes damage or injury to any person or property; and
shall not use or change your use of the Scholarcy Demo in such a way as may (or may reasonably be expected to) overload or otherwise compromise the Scholarcy Platform or use it in any way which may reasonably be expected to be outside the parameters of normal use and shall indemnify us against any costs we incur as a result of any such misuse;
and we reserve the right, without liability or prejudice to our other rights, to disable your access to the Scholarcy Demo should you breach any of these provisions.
We may suspend or terminate your access to the Scholarcy Demo at any time and for any reason, including but not limited to:
(a) you failing to use the Scholarcy Demo for its intended purpose;
(b) you failing to comply with any of these terms or any reasonable instruction we may issue;
(c) you withholding information which can reasonable be considered to be relevant in our granting you access to the Scholarcy Demo;
(d) your usage generating system loads that result in material negative impact on the performance of the Scholarcy Demo.
You assume sole responsibility for results obtained from your use of the Scholarcy Demo. We shall have no liability for any damage caused by your reliance on use of the Scholarcy Demo or any Structured Content. All warranties, representations, conditions and all other terms of any kind whatsoever implied by statute or common law are, to the fullest extent permitted by applicable law, excluded.
Indemnity
You shall defend, indemnify and hold us harmless against claims, actions, proceedings, losses, damages, expenses and costs (including without limitation court costs and reasonable legal fees) arising out of or in connection with your use of the Scholarcy Demo.
Your data
We collect data relating to your use of the Scholarcy Demo services in accordance with the terms of our privacy policy which is accessible from our website.
Intellectual Property Rights
You acknowledge that we and/or our licensors own all Intellectual Property Rights in the Scholarcy Demo. Your use of the Scholarcy Demo does not grant you any rights to, or in, patents, copyrights, database right, trade secrets, trade names, trade marks (whether registered or unregistered), or any other rights or licences in respect of the Scholarcy Demo or any of our other products and services.
Liability
Except as expressly and specifically provided in these Terms of Use:
(a) you assume sole responsibility for results obtained from the use of the Scholarcy Demo and for conclusions drawn from such use. We shall have no liability for any damage caused by errors or omissions in any information, instructions or scripts provided to us by you in connection with the Scholarcy Demo;
(b) all warranties, representations, conditions and all other terms of any kind whatsoever implied by statute or common law are, to the fullest extent permitted by applicable law, excluded from the Terms of Use; and
(c) the Scholarcy Demo is provided to the you on an “as is” basis.
Governing Law and Jurisdiction
This agreement is governed by the laws of England and Wales. All disputes arising out of or relating to these Terms that we cannot settle to each of our satisfaction between us shall be subject to the exclusive jurisdiction of the courts of England and Wales. We each waive any objection to proceedings in such courts on the grounds of venue or on the grounds that proceedings have been brought in an inappropriate forum.
